Terms of Use

Effective Date: January 1, 2026

Welcome to MRI Checks. These Terms of Use ("Terms") govern your access to and use of the MRI Checks platform, services, software, and website (collectively, the "Services") provided by MRI Checks LLC ("we," "our," or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, enterprise, clinic, hospital, or healthcare entity, you represent and warrant that you have the authority to bind that entity to these Terms.

SERVICES DESCRIPTION

MRI Checks provides a digital workflow, documentation, and intelligence platform designed to assist healthcare professionals in managing implant documentation, generating conditionality summaries, locating device information, and generating relevant administrative documentation.

ELIGIBILITY AND ACCOUNT CREATION

You must be at least 18 years old to use the Services.
You agree to provide accurate, current, and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials and for implementing appropriate security measures to protect against unauthorized access.
You are responsible for all activity occurring under your account credentials.

SUBSCRIPTIONS AND PAYMENTS

Certain Services require a paid subscription.
Subscriptions are billed on a monthly basis unless otherwise agreed in writing.
Users may cancel subscriptions at any time. Cancellation will become effective at the conclusion of the current billing cycle.
Except as required by applicable law, all fees are non-refundable.
MRI Checks may modify subscription pricing upon reasonable notice.
Organizational, enterprise, institutional, and volume licensing arrangements may be offered pursuant to separate agreements. In the event of any conflict between these Terms and a separately executed agreement, the separate agreement shall control.

USER CONTENT

Users may upload, store, process, and manage content through the Services, including but not limited to:

  • Medical records
  • Implant records
  • Implant cards
  • Device interrogation reports
  • Imaging studies
  • DICOM files
  • X-rays, CT scans, MRI images
  • PDF documents, Word documents, Spreadsheets, Photographs
  • Healthcare-related documentation

You retain ownership of all content uploaded to the Services.
You grant MRI Checks a non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, analyze, and otherwise use such content solely for purposes of providing, maintaining, securing, improving, and operating the Services.
You represent and warrant that you possess all necessary rights, permissions, and authority to upload and process such content.

PROHIBITED CONTENT AND ACTIVITIES

You shall not:
(a) Upload malware, viruses, ransomware, harmful code, or malicious software;
(b) Attempt unauthorized access to any account, system, database, or network;
(c) Reverse engineer, decompile, or attempt to extract source code from the Services;
(d) Interfere with platform operation or security;
(e) Use the Services in violation of applicable law;
(f) Upload content you do not have authority to upload;
(g) Circumvent security controls or access restrictions.
MRI Checks reserves the right to remove content, suspend access, or terminate accounts that violate these Terms.

INTELLECTUAL PROPERTY

MRI Checks and its licensors retain all right, title, and interest in and to:

  • The Services, Software, Databases
  • Device catalogs, Workflow systems, Search technologies, AI systems
  • Report templates, Output structures
  • Designs, Trademarks, Proprietary content

MRI Checks may maintain proprietary databases, structured datasets, extracted information, device classifications, conditionality summaries, workflow tools, and related content derived from publicly available, manufacturer-provided, licensed, customer-authorized, or internally developed sources. Such materials constitute proprietary intellectual property of MRI Checks LLC except where otherwise identified.
Manufacturer manuals, guidelines, instructions for use, trademarks, and related materials remain the property of their respective owners.

GENERATED OUTPUTS

Users may use, retain, print, export, share, and incorporate outputs generated through the Services for legitimate clinical, operational, reimbursement, administrative, research, and business purposes.
MRI Checks retains ownership of the underlying software, databases, workflows, templates, output formats, algorithms, AI systems, and other intellectual property used to generate such outputs.

AI-ASSISTED FUNCTIONALITY

The Services may utilize artificial intelligence, machine learning, automated extraction technologies, natural language processing systems, and related technologies.
AI-assisted features may: Retrieve information, Extract information from documents, Summarize documentation, Generate conditionality summaries, Generate workflow outputs, Generate CPT-related documentation, Assist users in locating relevant information.
AI-generated outputs may contain errors, omissions, inaccuracies, or incomplete information.
Users are responsible for independently reviewing source materials and exercising professional judgment before relying on any output generated by the Services.

CLINICAL DECISION-SUPPORT DISCLAIMER

MRI Checks is a workflow and decision-support platform.
MRI Checks does not provide: Medical advice, Medical diagnoses, Treatment recommendations, Clinical decision-making services, MRI eligibility determinations, MRI safety determinations, Patient-specific medical recommendations.
Final clinical, operational, imaging, and safety decisions remain solely the responsibility of qualified healthcare professionals.

MRI CONDITIONALITY DISCLAIMER

MRI Checks may provide access to manufacturer documentation, extracted information, summaries, workflow tools, and AI-assisted retrieval capabilities.
Manufacturer documentation remains the authoritative source of MRI conditionality information.
Users are responsible for reviewing source materials and exercising independent professional judgment before making clinical, operational, imaging, or safety-related decisions.
MRI Checks does not guarantee the completeness, accuracy, currency, or applicability of any MRI conditionality information.

CPT AND REIMBURSEMENT DISCLAIMER

Any CPT-related documentation, reimbursement assistance, coding support, workflow tools, or generated reports are provided solely for informational and administrative purposes.
MRI Checks does not guarantee: Coding accuracy, Claim approval, Coverage decisions, Reimbursement, Payment outcomes.
Users remain solely responsible for coding, billing, reimbursement submissions, and regulatory compliance.

DATA USE AND DE-IDENTIFICATION

Users retain ownership of uploaded content.
MRI Checks may use aggregated, anonymized, or de-identified information derived from platform usage and user content for: Product improvement, Research, Analytics, Benchmarking, Quality assurance, Security, Model development, AI training, Service enhancement.
MRI Checks will not knowingly use identifiable patient information for AI training purposes except as expressly authorized by applicable agreements or law.

DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MRI CHECKS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, OR RELIABILITY.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MRI CHECKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
MRI CHECKS SHALL NOT BE LIABLE FOR: Medical outcomes, Patient injuries, MRI-related events, Clinical decisions, Reimbursement outcomes, Coding decisions, Regulatory actions, Lost profits, Lost data, Business interruption.
TO THE EXTENT LIABILITY CANNOT BE DISCLAIMED, MRI CHECKS' TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE USER TO MRI CHECKS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

TERMINATION

MRI Checks may suspend or terminate access at any time for violations of these Terms, security concerns, legal requirements, or operational reasons.
Users may terminate their accounts at any time by canceling their subscription.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflict of law principles.

CHANGES TO THESE TERMS

MRI Checks may update these Terms from time to time. Continued use of the Services following publication of revised Terms constitutes acceptance of the revised Terms.
